Agreement and eligibility

These Terms and Conditions (“Terms”) govern access to and use of Krew, a workforce coordination service provided by OceanWave (“OceanWave,” “we,” “us,” or “our”). By accessing or using Krew, you agree to these Terms. If you use Krew for an organisation, you confirm that you are authorised to accept these Terms for that organisation.

You must be legally able to enter into this agreement and use Krew for work in your location. If you do not agree to these Terms, do not use the service.

The Krew service

Krew helps teams coordinate shifts, tasks, requests, work records, and communications. Features may change as we improve the service. We may add, modify, suspend, or discontinue features, and will provide reasonable notice when a material change significantly reduces core functionality.

Krew is a coordination tool. It is not legal, tax, payroll, employment, accounting, or human-resources advice. Organisations remain responsible for reviewing records, paying workers correctly, and complying with workplace laws and agreements.

Accounts and administrators

You must provide accurate information, keep login credentials confidential, and promptly notify us of suspected account misuse. You are responsible for activity performed through your account unless caused by our breach.

If an organisation manages your workspace, its administrators may add or remove users, set permissions, access workspace content, configure retention, and control your account. Your use is also subject to that organisation’s policies and instructions.

Acceptable use

You may not use Krew to:

  • Break the law, infringe rights, harass others, discriminate, or facilitate harmful or fraudulent activity.
  • Upload malicious code, disrupt the service, bypass security controls, probe vulnerabilities without permission, or access accounts or data without authorisation.
  • Scrape, copy, reverse engineer, resell, or exploit Krew except where expressly permitted by law or a written agreement.
  • Submit content you do not have the right to use or collect employee information without appropriate notice and authority.
  • Misrepresent identity, employment status, work completed, time records, approvals, or communications.

Your content and data

You retain ownership of information, messages, files, and other content submitted to Krew. You grant us a limited right to host, process, transmit, display, and back up that content only as needed to provide, secure, support, and improve the service and meet legal obligations.

You are responsible for having the rights and permissions needed to submit content and direct us to process it. Our handling of personal information is described in the Privacy Policy.

Our intellectual property

Krew, its software, visual design, branding, documentation, and related technology are owned by OceanWave or its licensors and are protected by applicable intellectual-property laws. Subject to these Terms, we give you a limited, non-exclusive, non-transferable, revocable right to use Krew for its intended business purpose.

If you provide feedback, you allow us to use it without restriction or compensation, but we will not publicly identify you as its source without permission.

Availability and third-party services

We work to keep Krew reliable and secure, but uninterrupted or error-free operation is not guaranteed. Maintenance, network conditions, emergencies, and events outside our reasonable control may affect availability.

Krew may interoperate with third-party services selected by you or your organisation. Their terms and privacy practices govern their services, and we are not responsible for third-party products outside our control.

Suspension and termination

You may stop using Krew at any time. Workspace access may also be ended by your organisation. We may restrict or suspend access when reasonably necessary to address security risk, unlawful activity, material breach, non-payment under an applicable order, or harm to Krew or others.

On termination, your right to use Krew ends. Provisions that by their nature should continue—including ownership, disclaimers, liability limits, and dispute terms—will survive. Workspace data will be handled according to the applicable agreement and Privacy Policy.

Disclaimers

To the maximum extent permitted by law, Krew is provided “as is” and “as available.” We disclaim implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and warranties arising from course of dealing. Nothing in these Terms excludes warranties or consumer rights that cannot legally be excluded.

Limitation of liability

To the maximum extent permitted by law, OceanWave will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data arising from use of Krew. Any aggregate liability will be limited to the amount paid for Krew during the twelve months before the event giving rise to the claim.

These limits do not apply where liability cannot legally be limited, including where applicable for fraud, wilful misconduct, or death or personal injury caused by negligence.

General terms

If a separate written agreement or order form applies to an organisation’s use of Krew, it controls to the extent of a conflict. If any provision is unenforceable, the remaining provisions continue in effect. A delay in enforcing a right is not a waiver.

These Terms are governed by the laws applicable to OceanWave’s contracting entity, without regard to conflict-of-law rules, while preserving any mandatory protections available to you. Disputes will be brought in a court with lawful jurisdiction unless an applicable written agreement states otherwise.

Changes and contact

We may update these Terms to reflect changes to Krew, our business, or legal requirements. We will post updated Terms and revise the effective date, with additional notice for material changes where required. Continued use after the updated Terms take effect constitutes acceptance to the extent permitted by law.
